(the “Competition”)

Full Competition Rules and Regulations

Please read these competition rules (“Competition Rules”) in their entirety before entering the Competition. Do not enter the Competition unless you agree to these Competition Rules. Participation in the Competition constitutes unconditional agreement and acceptance of these Competition Rules which are final on all matters relating to the Competition. By entering this Competition you agree to be bound by the decisions of contest judges which are final and binding in all respects.

1. COMPETITION PERIOD:The Competition runs from 9:00 am ET on January 3rd, 2011 to Midnight on Friday March 30, 2012 (the “Competition Period”). This competition is sponsored by Holistic Blend®. (“Sponsor”).
   
   
2. ELIGIBILITY: This competition is open to everyone that at the time they enter in the Competition, have attained the age of majority in their province, state or territory of residence in Canada and/or the continental USA. This competition is not open to residents of Florida, New York or Rhode Island. This Competition is not open to residents where Competitions of this nature are forbidden by law. Employees of the Sponsor, its agents, advertising or promotional agencies or the independent contest organization and those with whom they are domiciled are not eligible.
   
   
3. NO PURCHASE NECESSARY.
   
   HOW TO ENTER: To enter the Competition, visit http://www.facebook.com/pages/Holistic-Blend/113194065413768 from 9:00 am ET on January 3rd, 2011 to noon on Friday December 30, 2011, and upload the photo of your pet. There are two categories. One for dogs. One for cats. You can submit as many entries as you wish.

   ODDS OF WINNING: Odds of winning will depend on the number of “likes” (votes) an entry receives.

4. PRIZE: Three (3) Grand Prizes will be awarded. Two in the dog category, and one in the cat category. Each Prize will consist of the winning pet’s image being displayed on the Holistic Blend website and a one (1) year supply of Holistic Blend pet food. The approximate retail value of the Prize is $1,000. The Prize winner will be contacted by a professional photographer to arrange a mutually convenient time and place in their community for a photographic session. One of the photos from the photographic session will be selected by Holistic Blend management and will be used on the on the Holistic Blend website at a future date. All photos from the photographic session become the property of Holistic Blend.
   
   

   There will be thirty-six (36) Second Prizes awarded, comprised of 24 dog entries and 12 cat entries. These prizes will be awarded quarterly. Each “quarter” the six (6) dogs and three (3) cats getting the most “likes” (votes) will receive a three month supply Holistic Blend pet food.

   Grand Prize winners and his/her pet are solely responsible for all costs and expenses not expressly described herein as included as part of the prize, including, without limitation, applicable taxes, fuel, ground transportation, meals, merchandise, telephone calls, insurance together with any required travel, and all personal expenses of any kind or nature, together with any applicable costs of attending the photo-shoot. The winner and pet must attend the designated photographic session at the time and place agreed to. Failing to attend may result in the prize being forfeited.

   Starting January 3rd, 2011 at 9:00 am ET, consumers can go to http://www.facebook.com/pages/Holistic-Blend/113194065413768 and indicate which pet they “like”. Consumers should vote for the respective pet that best embodies a healthy and happy Holistic Blend fed dog or cat. Voting is limited to one vote per day per unique email address. Voting will end at noon ET on December 30th, 2011. Quarterly prizes will be awarded based on the number of votes attracted each quarter. The timing of the quarterly competitions are:

   1st Quarter: 9:00 am ET on January 3rd to 11:59 pm ET March 31st, 2011.

   2nd Quarter: 12:00 am ET April 1st to 11:59 pm ET June 30th, 2011.

   3rd Quarter: 12:00 am ET July 1st to 11:59 pm ET September 30th, 2011.

   4th Quarter: 12:00 am ET October 1st to noon ET December 30th, 2011.

   Designated Winners will be selected at noon ET in Streetsville Ontario, Canada on the day following the closing of the voting. Designated Winners of the Quarterly competitions will be contacted within seven (7) business days of the end of each quarterly competition

   Winners of the Quarterly competitions will progress to the Final for the Grand Prize. Voting for the Grand Prize entries will commence 9:00 am ET Saturday January 14th, 2012 and end midnight ET Friday March 30th, 2012. Consumers can indicate which pet they “Like” at http://www.facebook.com/pages/Holistic-Blend/113194065413768 The two (2) dogs and one (1) cat securing the most “Likes” (votes) over this period will be declared the Grand Prize winners.

   Designated Grand Prize winners will be selected noon ET Saturday March 31, 2012.

   Grand Prize winners will be announced the week of April 16, 2012.
   
   All designated winners will be required to complete a Declaration & Release Form.

   The Prizes may not be sold or transferred and is/are not convertible to cash. Sponsor reserves the right to substitute the Prizes in whole or in part in the event that all or any component of the Prize is unavailable. Any taxes and other incidental or other charges on prizes are the sole responsibility of the winner.

5. CONSENT TO MARKET TO ENTRANTS

   By entering this Competition, each entrant permits the Sponsor, its agents, promotional agencies, representatives and judges to collect the information submitted with your entry and to use it to administer the Competition and the Prizes.

6. WINNER SELECTION: The winners will be selected based on the pet images receiving the most votes during the time periods outlined above. Before being declared a winner, the selected entrant (eligible according to the official rules) will be contacted by telephone or email. The winner will be notified by the Sponsor to make arrangements for the awarding of the prizes. Winners will be required to sign a standard Declaration of Compliance, Liability Release form and Publicity Release consenting to the use of his/her name and their pet’s name and image, city or province and/or photograph, without further compensation, in any publicity carried out by the Sponsor and/or its advertising and promotional agencies relative to this competition. By entering the Competition, each entrant hereby releases Holistic Blend and its promotional agencies from any and all liability whatsoever, and waives any and all causes of action, related to any injuries, loss or damage of any kind to any person or persons (including, without limitation, death or personal injuries, property damage, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional) resulting in whole or in part, directly or indirectly, from acceptance, possession, use and misuse of, and inability to use, any prize or any part of any prize or otherwise related to participation in the Competition. In the case of a “tie” the contest judges will select the pet that appears to be the healthiest, most energetic and most represents the look of a Holistic Blend fed pet.
   
   
7. ADDITIONAL TERMS: All entries become the property of the Sponsor who assumes no responsibility for garbled, inaudible, lost, late, delayed, destroyed or misdirected mail, voice messages, e-mail or any computer errors or malfunctions. Sponsor does not assume any responsibility for incorrect or inaccurate capture of entry information, technical malfunctions, human or technical error, printing errors, lost, delayed or garbled data or transmissions, omission, interruption, deletion, effect or failures of any telephone or computer line or network, computer equipment, software or any combination thereof. Entry materials/data that have been tampered with or altered are void.

   The use of any automated equipment to participate in the Contest is forbidden.

   Creating multiple Facebook accounts or alias Facebook accounts and then using those accounts to increase an entrant’s chances of winning the Prize is forbidden. “Eligible Facebook Accounts” must be an entrant’s main Facebook account that they are using on a daily basis and can be verified by the Contest Sponsor as a “legitimate” account. All illegitimate entrants to the Contest will be removed or disqualified. Entrants receiving “Likes” from alias Face Book accounts may be disqualified at the discretion of the contest judges.

   In the event of a dispute over email entries, the winner will be deemed to be the holder of the email account. Authorized account holder is defined as the natural person who is assigned to an email address by an Internet access or online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted email address.

   Entrants and/or winners assume liability for injuries caused, or claimed to be caused by participating in the Competition, by the acceptance, possession, or use of any prize awarded, including but not limited to claims/damages for personal injury, or property damage.

8. If for any reason, in the opinion of the Sponsor, in its/their sole discretion, the Competition is not capable of running as originally planned, or if the administration, security, fairness, integrity or the property conduct of the Competition is corrupted or adversely affected, including but not limited to, by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or any other causes, the Sponsor reserves its/their right, without need of individual notice [subject to the approval of the Régie in Quebec, if applicable], to cancel, terminate, modify, amend, extend or suspend the Competition in whole or in part, including, without limitation, canceling any method of entry, and/or selecting a winner from previously received eligible entries. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Competition or to be acting in violation of the Competition Rules or otherwise in a disruptive manner. Any attempts to deliberately damage any website or to undermine the legitimate operation of this Competition is a violation of criminal and civil laws and should such attempt be made the Sponsor reserves its right to seek remedies and damages to the fullest extent of the law. Competition sponsors shall not be held responsible for any errors or negligence that may arise or occur in connection with the Competition including any damage to an entrant’s computer equipment, system software or any combination thereof, as a result of their participation in this Competition or from downloading any material from the Competition website, where applicable.

   The Sponsor and the other Releases do not warrant that access to or use of the Competition will be uninterrupted or error-free.

   The Contest is in no way sponsored, endorsed or administered by, or associated with Facebook. All entrants understand that they are providing their information to the Contest Sponsor and not to Facebook except as governed by the terms of service of Facebook. 9. FOR RESIDENTS OF QUÉBEC: Any litigation in regards to the conduct or organization of this publicity competition may be submitted to the Régie des alcools, des courses et des jeux (“Régie”) for a ruling. Any litigation in regards to the awarding of the prize may be submitted to the Régie, only for purposes of helping the parties reach a settlement.

   In the event of any discrepancies between the English language rules and the non-English language rules, the English rules shall prevail.

10. Any litigation must be commenced in the City of Toronto, Ontario. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and Sponsor in connection with the Competition, shall be governed by, and construed in accordance with, the substantive laws of the Province of Ontario without regard to Ontario conflicts of law principles. All entrants consent to the jurisdiction and venue of the Province of Ontario.

12. This competition is subject to all Federal, Provincial and Municipal laws and regulations applicable in the province of Quebec.
